General Provisions

These General Terms and Conditions (hereinafter referred to as “GTC”), together with the signed paper contract, govern the contractual relationship established between Sibook Ltd. and the Client for the provision of the services described below.

 

01. Terms and Definitions

Sibook: Software product developed by Sibook Ltd. Client: The legal or natural person who signs this contract for personal, business, or professional purposes. Contract: Composed of the order form together with these general terms and conditions. Access Credentials: Combination of phone number and password allowing the Client to authenticate and access the services. Order Form: A paper or digital form completed by the Client and submitted to Sibook, representing a contractual proposal requesting service activation. Service: Includes registration with the Sibook platform and monthly rental of the software and any necessary hardware provided by Sibook.

 

02. Purpose of the Contract

The purpose is to provide the Client with the Service as specified in the order form, under the Sibook system.

 

03. Completion

Submission of the signed order form and deposit payment constitutes full acceptance of the GTC and a contractual offer under Article 1326 of the Italian Civil Code. Sibook may accept or reject this offer. Upon acceptance, the contract is completed with service activation. Use of the Service implies acceptance of all contractual terms. If not accepted, Sibook shall only refund any advance payment made by the Client, without interest or additional charges. The Client acknowledges they can only claim the refund of the deposit, if paid, and not any form of compensation. If payment is not received within 60 days of the order, it will be cancelled without notice.

 

04. Activation

Sibook proceeds with registration and delivery of materials or services based on resource availability and in chronological order of valid requests confirmed by deposit payment.

 

05. Duration and Renewal

Unless stated otherwise, services will continue indefinitely from activation without the need for renewal, unless terminated.

 

06. Economic Terms

Unless otherwise stated, the Client shall pay the initial fee in advance and subsequent fees at least 30 days before renewal. Payment methods are indicated in the order form. The Client agrees to receive invoices in electronic format.

 

07. Delay or Failure to Pay

If payment is invalid, revoked, or not received, Sibook may suspend or terminate the Service. During suspension, the Client will not have access to data or content. Late payments will incur interest and reactivation fees as per Legislative Decree 231/2002. The Client cannot raise disputes without first fulfilling payment obligations.

 

08. Service Suspension

Sibook may suspend or interrupt the Service, without notice, in cases of contract breach, unauthorized use, force majeure, security risks, or if required by law. The Client has no right to compensation during suspension.

 

09. Withdrawal

The Client, whether consumer or not, may withdraw at any time with written notice and a copy of an ID. Sibook may also withdraw at any time with at least 15 days’ notice or immediately in cases of breach or force majeure. No compensation will be due.

 

10. Service Modifications

Sibook may change the technical and economic conditions of the Service at any time. The Client may withdraw if they do not accept such changes. Otherwise, changes are considered accepted.

 

11. Liability Limitations

Sibook strives to ensure service continuity but is not liable for delays or malfunctions due to force majeure, third parties, or Client misuse. Sibook is not responsible for indirect or consequential damages. Any refund will be calculated daily based on the current subscription fee.

 

12. Client Responsibilities

The Client must use the Service responsibly, keep credentials confidential, and not violate laws or rights. Sibook may suspend the Service in cases of serious misuse. The Client is solely responsible for content and agrees to indemnify Sibook against any claims.

 

13. Support and Maintenance

Support is provided via contact channels listed on Sibook’s website. Sibook does not back up Client data and is not responsible for data loss. Service interruptions for maintenance may occur without liability.

 

14. Jurisdiction

This contract is governed by Italian law. Any dispute will be subject to the exclusive jurisdiction of the court where Sibook is located.

 

15. Taxes

All applicable taxes, including those for advertising activities, are the responsibility of the Client.

 

16. Contract Assignment

The Contract cannot be assigned to third parties without written consent from Sibook.

 

17. Data Processed

Service providers include consumer users (receiving services) and business users (offering services). For consumers, data processed include name, phone number, password, and appointment details.

 

18. Data Retention

Personal data are stored while the user uses the Service and up to 10 years afterward, for legal purposes. During this period, data are securely stored and access is restricted.

 

19. User Rights

Under EU Regulation 2016/679, users may request access, correction, deletion, restriction, portability, or revoke consent for personal data at any time.

 

20. Exercising Rights

Users can edit or delete their data from their profile page. For further requests, they may contact Sibook at info@sibook.cloud.

 

21. Termination Clause

Sibook may terminate the contract immediately under Article 1456 of the Civil Code if the Client breaches obligations under Sections 13 and 16. Sibook reserves the right to seek compensation for damages.

 

22. Privacy Notice (D. Lgs. 196/2003)

Sibook complies with all current privacy regulations. Personal data will be processed solely for purposes related to this contract, unless authorized otherwise by the Client.

 

23. Booking Data Retention

Sibook stores bookings for a maximum of 24 hours after the scheduled appointment, after which data are deleted. Recovery is not possible beyond this period.

 

24. Revenue Statistics

Sibook provides revenue statistics for informational purposes only. These are not valid for tax purposes. The Client is responsible for proper tax reporting using official documents. Sibook is not liable for misuse of this data.
